This checklist shows the whole path of a sp. z o.o.: from registration to the first annual statements. A company has many deadlines from the very first week, and each missed one carries a fine. It is simpler and usually cheaper to leave it to MK Buhgalteria: we register the company, file everything on time and keep full books from day one.
The simple way: we register your company and run its books
- We prepare the documents for S24 or a notary.
- We file CRBR, NIP-8, VAT-R and VAT-UE on time.
- Full accounting from 690 zł a month, from day one.
- First month of bookkeeping 30% off.
Steps
- Set the structure. Who the shareholders are and their shares, the share capital (at least 5 000 zł), who sits on the management board. A foreigner with any residence status can set up a sp. z o.o. With us: we discuss the structure and calculate the company’s taxes on your figures.
- Choose how to register. S24 online with the model articles, usually within a day, or notarial articles if you need special terms. With us: we prepare the documents for S24 or the notary.
- Get the KRS entry. With it the company receives NIP and REGON.
- Within 7 days: pay in the capital and file the management board declaration (oświadczenie zarządu) with the KRS. With us: we prepare the declaration.
- Within 14 days: pay PCC of 0,5% of the capital and register the beneficial owners in the CRBR. With us: we file the CRBR entry and PCC-3.
- Within 21 days: file NIP-8 with the tax office. It states the bank account, the accounting office and where the records are kept. With us: we file NIP-8.
- VAT: VAT-R before the first sale with VAT. Services to firms in other EU countries also require VAT-UE registration. With us: we register VAT and VAT-UE.
- Bank account and accounting. A company keeps full books from day one, so it is best to sign with an accounting office before the first invoice. With us: we draw up the accounting policy and keep the books from day one.
Documents you will need
If you register the company with us, send these details on WhatsApp or by email.
- Passports of all shareholders and board members, their addresses, PESEL if they have one.
- Company name and registered office address in Poland.
- Activities (PKD codes), share capital and split of shares.
- Beneficial owner details for the CRBR.
- Access to S24: Trusted Profile or qualified signature of everyone who signs.
Monthly deadlines
- By the 15th: ZUS contributions for employees and contractors.
- By the 20th: CIT advance and PIT withheld from salaries (PIT-4R). A sole shareholder pays their own ZUS by the 20th, as for a JDG.
- By the 25th: JPK_V7M or JPK_V7K and VAT payment, VAT-UE if there are transactions with EU firms.
With us the accountant keeps these deadlines: you receive the amounts to pay with bank details, and we file JPK, PIT-4R and ZUS.
Annual deadlines
- By 31 March: prepare the financial statements for the previous year, file CIT-8 and pay the tax.
- By 30 June: the shareholders’ meeting approves the statements.
- Within 15 days of approval: file the statements and documents with the KRS.
- Within 7 days of a change: update the CRBR if beneficial owners change, and NIP-8 if the accounting office or the place where records are kept changes.
With us we prepare the financial statements and CIT-8, and give you a ready set of documents for the shareholders’ meeting.
Mistakes that cost money
- A missed CRBR or KRS filing deadline: fines and court measures.
- Books not started on day one: they have to be rebuilt, and that costs more.
- Payments to shareholders without the right documents: extra tax and interest.
- A missed ZUS, CIT or JPK deadline: late interest and fines.
We check every filing before it goes out so that a mistake does not cost you money. Questions about the company are included in the monthly fee, at no extra charge.
What it costs with us
- Company registration: we quote the price after a short conversation; the court fee and PCC are paid separately.
- Full company accounting: from 690 zł a month, the price is set in the contract.
- First month of bookkeeping: 30% off.
- The exact amount is shown by the calculator on the accounting prices page.
